Exclusive Artist & Brand Agreement 

 

(EXCLUSIVE MASTER & COMPOSITION LICENSE AGREEMENT

This Agreement is entered into by and between Holy Fire Beat Bank / TheHolyGoldy.com ("Licensor") and the purchasing entity/artist ("Licensee").

 

1. GRANT OF RIGHTS:Upon receipt of the full upfront exclusive acquisition fee, Licensor grants Licensee the exclusive, perpetual, worldwide right to use, record vocal performances over, reproduce, and distribute the audio recording (the "Master Recording") across all commercial formats. Licensor guarantees that the Master Recording will be immediately retired and never sold, leased, or licensed to another party.

 

2. COPYRIGHT & PUBLISHING OWNERSHIP:Master Recording Ownership: Licensee shall own 100% of the newly created sound recording containing the vocals and the Master Recording.Composition / Publishing Ownership: The underlying musical composition remains the intellectual property of Licensor. Licensor strictly retains 50% of the Writer's Share and 50% of the Publisher's Share of the underlying composition.

 

3. REGISTRATION & ROYALTIES:Licensee agrees to register the final song with their respective Performance Rights Organization (e.g., ASCAP, BMI, PRS) listing the Licensor under the writer and publisher details provided at the time of clearance. Licensee is entitled to 100% of mechanical royalties from digital streams and physical sales, subject to the retention of the Licensor’s 50% publishing share for public performances and broadcasts.

Non-Exclusive Film & TV Sync Agreement 

 

MASTER USE & SYNCHRONIZATION LICENSE (ONE-STOP CLEARANCE)This Agreement is entered into by and between Holy Fire Beat Bank / TheHolyGoldy.com ("Licensor") and the production company, network, or filmmaker ("Licensee").

 

1. ONE-STOP REPRESENTATION:Licensor warrants and represents that they are the 100% sole owner and controller of both the Master Recording and the underlying Musical Composition (Publishing). This track is pre-cleared for immediate "One-Stop" licensing.

 

2. GRANT OF SYNCHRONIZATION RIGHTS:Licensor grants Licensee a non-exclusive, worldwide, perpetual right to synchronize the Master Recording and Composition in timed-relation with the visual images of the specified multi-media production (including film, television, internet media, video games, or advertisements).

 

3. RESERVATION OF RIGHTS:This license is strictly non-exclusive. Licensor retains the unrestricted right to market, license, stream, or sell the Master Recording and Composition to other third-party media productions or platforms.

 

4. CUE SHEETS & PERFORMANCE ROYALTIES:Licensee agrees to accurately maintain and submit a cue sheet to the appropriate Performance Rights Organization (PRO) for any broadcast, cable, streaming, or theatrical exhibition of the production. Licensor remains entitled to collect 100% of the public performance royalties generated by the broadcast of the music via Licensor's PRO.​​​​​
